Client project terms

These are the standard terms we work to on website, hosting and SEO projects. They're written plainly on purpose — you should be able to read them once and know exactly where you stand. They're issued with every proposal and form part of our agreement once you confirm a project in writing.

1. Who these terms are between

These terms apply between Vision & Venture ("we", "us") and the business commissioning the work ("you", "the client"). They apply to business-to-business engagements. Where a signed proposal, statement of work or written scope says something different, that document takes precedence over these terms for the point it covers.

2. Scope of work

Every project begins with a written scope: the pages or templates included, the features agreed, what you supply and what we produce. Work outside that scope is not included in the quoted fee.

Additional pages, new functionality, extra design directions, integrations or content writing that weren't in the original scope are quoted separately before we start them. We will never carry out chargeable extra work without telling you the cost first.

3. Revisions and approval

Design and build stages each include two rounds of consolidated revisions. Please gather feedback from everyone involved before sending it — that keeps projects moving and costs predictable.

Further rounds, or changes of direction after a stage has been approved, are charged at our standard hourly rate, agreed with you in advance. A stage is treated as approved when you confirm it in writing or when fourteen days pass with no feedback after we've asked for it.

4. What we need from you

Projects depend on timely input: copy, images, logos, brand assets, access to your domain and any existing hosting, plus a single named point of contact who can approve decisions.

You confirm you own or have permission to use all content and assets you give us. If a project stalls for more than sixty days awaiting your input, we may invoice the work completed to date and reschedule the remainder into our next available slot.

5. Fees and payment

Website projects are invoiced 50% on booking and 50% on completion, before the site goes live, unless the proposal says otherwise. Ongoing services — Managed Hosting & Care and SEO — are billed monthly in advance by direct debit or standing order.

Invoices are payable within fourteen days. We may pause work or suspend ongoing services on accounts more than fourteen days overdue, and may charge statutory interest on late payment. Prices quoted are exclusive of VAT; where VAT applies it will be shown on the invoice. Deposits cover reserved production time and are non-refundable once work begins.

6. Timescales

Timescales in a proposal are realistic estimates based on prompt feedback and content being ready. Delays in content, approvals or third-party access move the delivery date. We'll always tell you as soon as we can see a date slipping and why.

7. Managed Hosting & Care

Managed Hosting & Care is a monthly service covering hosting, SSL, backups, platform and security updates, uptime monitoring, and a reasonable allowance of small content edits. It is not a redesign or a development retainer.

It runs month to month with thirty days' notice on either side. If it is cancelled, you remain the owner of your website and content, and we'll provide an export of the site and reasonable assistance to migrate it to a provider of your choice. Time spent on migration beyond a reasonable handover may be chargeable.

8. SEO services

SEO is an ongoing service, not a one-off deliverable, and it is bought on the basis of the work performed rather than a guaranteed position. Nobody can guarantee rankings, because search engines control their own results and change them constantly.

What we commit to is the agreed programme of work: technical improvements, content, on-page optimisation, local visibility and reporting, delivered monthly with a plain-English report showing what was done and what moved.

Meaningful movement usually takes three to six months, and longer in competitive sectors. We use only methods within search engine guidelines; we do not buy links or use tactics that put your site at risk. Results can also be affected by things outside our control, including algorithm updates, competitor activity, your pricing, your reviews and how quickly you respond to enquiries. SEO runs monthly with thirty days' notice either side.

9. Third-party services

Projects may rely on third-party platforms and services — domain registrars, hosting, email, booking tools, payment providers, analytics and similar. Their own terms, fees and availability apply, and we can't accept responsibility for outages, price changes or feature changes made by them.

Where a third-party licence or subscription is needed (for example a premium font, plugin or API), the cost is yours unless the proposal expressly includes it.

10. Ownership and intellectual property

On full payment, you own the final design and website files produced specifically for you, together with your content and your domain. We retain ownership of our underlying tools, frameworks, code libraries, internal templates and know-how, and of any concepts or design routes not selected for your project.

Third-party assets — fonts, stock imagery, plugins — remain the property of their owners and are licensed to you under their terms.

11. Portfolio and confidentiality

We treat your commercial information, plans and data as confidential and will not share them with anyone outside our team without your permission. We do not publish client performance figures, contracts or fees.

Unless you ask us not to, we may include the finished website in our portfolio and reference the project in general terms. If you'd rather we didn't, tell us and we won't.

12. Liability

We'll carry out the work with reasonable skill and care. Our total liability in connection with a project is limited to the fees you have paid us for that project in the twelve months before the claim.

We are not liable for indirect or consequential loss, including loss of profit, revenue, anticipated savings, goodwill, rankings or data. Nothing in these terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud. As these are business-to-business terms, consumer cancellation rights do not apply.

13. Cancellation and ending an engagement

If a project is cancelled part-way through, you're invoiced for the work completed to that point and any deposit is not refundable. Ongoing monthly services can be ended by either side with thirty days' written notice; the current month is payable in full.

We may end an engagement in cases of persistent non-payment, or if we're asked to do something unlawful, unethical or damaging to your own website. If we do, we'll hand over everything you've paid for.

14. Data protection

Where we process personal data on your behalf — for example enquiry submissions through your website — we act as your processor, process it only on your instructions, keep it secure and don't use it for anything else. How we handle data for our own purposes is set out in our privacy policy. Both parties will comply with UK data protection law.

15. Changes to these terms

We may update these standard terms from time to time. The version issued with your proposal is the version that applies to your project. Material changes affecting ongoing monthly services will be given at least thirty days' notice.

16. Governing law

These terms are governed by the laws of England and Wales, and both parties submit to the exclusive jurisdiction of the courts of England and Wales.
